Article 1
Establishment of a Special Union; Adoption of an International Classification; Definition and Languages of the Classification

(1) The countries to which this Agreement applies constitute a Special Union and adopt a common classification of goods and services for the purposes of the registration of marks (hereinafter designated as "the Classification"). 　　一、本协定适用的国家组成特别联盟，采用共同的商标注册用商品和服务分类（以下简称“分类”）。
(2) The Classification consists of: 　　二、本分类由下列两表组成：
(i) a list of classes, together with, as the case may be, explanatory notes;
　　（1）分类表，视需要附加注释； 
(ii) an alphabetical list of goods and services (hereinafter designated as "the alphabetical list") with an indication of the class into which each of the goods or services falls.
　　（2）按字母顺序排列的商品和服务表（以下简称“字母顺序表”）。并对每个商品和服务项目标明所属类别。
(3) The Classification comprises: 　　三、本分类包含：
(i) the classification published in 1971 by the International Bureau of Intellectual Property (hereinafter designated as "the International Bureau") referred to in the Convention Establishing the World Intellectual Property Organization, it being understood, however, that the explanatory notes to the list of classes included in that publication shall be regarded as provisional and as recommendations until such time as explanatory notes to the list of classes are established by the Committee of Experts referred to in Article 3;
　　（1）《建立世界知识产权组织公约》中所指的知识产权国际局（以下简称“国际局”）于1971年公布的分类，其中分类表所附注释，在经过第三条所指的专家委员会确认以前，应视为临时性建议；
(ii) the amendments and additions which have entered into force, pursuant to Article 4(1) of the Nice Agreement of June 15, 1957, and of the Stockholm Act of July 14, 1967, of that Agreement, prior to the entry into force of the present Act;
　　（2）在现行议定书生效以前，依据1957年6月15日尼斯协定和1967年7月14日该协定斯德哥尔摩议定书第四条第一款，已经生效的修改和增订；
(iii) any changes to be made in accordance with Article 3 of this Act and which enter into force pursuant to Article 4(1) of this Act.
　　（3）按照本议定书第三条所作的并依据本议定书第四条第一款生效的任何变动。
(4) The Classification shall be in the English and French languages, both texts being equally authentic. 　　四、分类使用英文和法文两种文字，两种文本具有同等效力。
(5) 　　五、
(a) The classification referred to in paragraph (3)(i), together with those amendments and additions referred to in paragraph (3)(ii) which have entered into force prior to the date this Act is opened for signature, is contained in one authentic copy, in the French language, deposited with the Director General of the World Intellectual Property Organization (hereinafter designated respectively "the Director General" and "the Organization"). Those amendments and additions referred to in paragraph (3)(ii) which enter into force after the date this Act is opened for signature shall also be deposited in one authentic copy, in the French language, with the Director General.
　　（一）第三款第（1）项所指的分类和第三款第（2）项所指的在本议定书开放签字日期以前已经生效的修改和增订，列载于法文原本，交由世界知识产权组织总干事（以下分别简称“产权组织”和“总干事”）保管。第三款第（2）项所指的在本议定书开放签字日期以后生效的修改和增订，其法文原本应同样交由总干事保管。 
(b) The English version of the texts referred to in subparagraph (a) shall be established by the Committee of Experts referred to in Article 3 promptly after the entry into force of this Act. Its authentic copy shall be deposited with the Director General.
　　（二）前项所称文本的英译本，应由第三条所指的专家委员会在本议定书生效以后尽快确认，其原本交由总干事保管。
(c) The changes referred to in paragraph (3)(iii) shall be deposited in one authentic copy, in the English and French languages, with the Director General.
　　（三）第三款第（3）项所指的变动，应将其英文和法文原本交由总干事保管。
(6) Official texts of the Classification, in Arabic, German, Italian, Portuguese, Russian, Spanish and in such other languages as the Assembly referred to in Article 5 may designate, shall be established by the Director General, after consultation with the interested Governments and either on the basis of a translation submitted by those Governments or by any other means which do not entail financial implications for the budget of the Special Union or for the Organization. 　　六、阿拉伯文、德文、意大利文、葡萄牙文、俄文、西班牙文、及其他经第五条所称大会指定的文字的分类正式文本，应由总干事在有关政府提供的译本的基础上，或者采取不牵涉本特别联盟或产权组织财政预算的其他办法，与有关政府协商制定。
(7) The alphabetical list shall mention, opposite each indication of goods or services, a serial number that is specific to the language in which the said list is established, together with: 　　七、字母顺序表应对每个商品和服务项目编有特别用于该文本的顺序号，同时：
(i) in the case of the alphabetical list established in English, the serial number mentioned in respect of the same indication in the alphabetical list established in French, and vice versa;
　　（1）英文字母顺序表的顺序号，应载明法文字母顺序表的同一项目，反之亦然；
(ii) in the case of any alphabetical list established pursuant to paragraph (6), the serial number mentioned in respect of the same indication in the alphabetical list established in English or in the alphabetical list established in French.
　　（2）依据第六款确定的任何文本的顺序号，应载明英文或法文字母顺序表的同一项目。

Article 2
Legal Effect and Use of the Classification

第二条
分类的法律效力和使用
(1) Subject to the requirements prescribed by this Agreement, the effect of the Classification shall be that attributed to it by each country of the Special Union. In particular, the Classification shall not bind the countries of the Special Union in respect of either the evaluation of the extent of the protection afforded to any given mark or the recognition of service marks. 　　一、按照本协定所规定的要求，本分类的效力取决于特别联盟的每个国家。特别是，在对任何特定的商标提供保护的范围或对服务商标的认可方面，对特别联盟国家不具有约束力。
(2) Each of the countries of the Special Union reserves the right to use the Classification either as a principal or as a subsidiary system. 　　二、特别联盟各国可以保留将本分类作为主要体系使用或者作为辅助体系使用的权利。
(3) The competent Offices of the countries of the Special Union shall include in the official documents and publications relating to registrations of marks the numbers of the classes of the Classification to which the goods or services for which the mark is registered belong. 　　三、特别联盟各国的主管机关，应有其有关商标注册的官方文件和公告中，载明商标注册的商品或服务项目所属的类别号。
(4) The fact that a term is included in the alphabetical list in no way affects any rights which might subsist in such a term. 　　四、字母顺序表列入了某个名词不得影响存在于该名词的任何权利。

Article 3
Committee of Experts

第三条
专家委员会
(1) A Committee of Experts shall be set up in which each country of the Special Union shall be represented. 　　一、特别联盟各个国家派代表组成专家委员会。
(2) 　　二、
(a) The Director General may, and, if requested by the Committee of Experts, shall, invite countries outside the Special Union which are members of the Organization or party to the Paris Convention for the Protection of Industrial Property to be represented by observers at meetings of the Committee of Experts.
　　（一）经专家委员会要求，总干事可以邀请不属于本特别联盟而系产权组织或保护工业产权巴黎公约成员国的国家，派观察员参加专家委员会会议。
(b) The Director General shall invite intergovernmental organizations specialized in the field of marks, of which at least one of the member countries is a country of the Special Union, to be represented by observers at meetings of the Committee of Experts.
　　（二）总干事可以邀请对商标有专门研究的政府间组织派观察员参加专家委员会会议，但该组织至少应有一个成员国属于特别联盟国家。
(c) The Director General may, and, if requested by the Committee of Experts, shall, invite representatives of other intergovernmental organizations and international non-governmental organizations to participate in discussions of interest to them.

(3) The Committee of Experts shall: 　　三、专家委员会的职能：
(i) decide on changes in the Classification;

(ii) address recommendations to the countries of the Special Union for the purpose of facilitating the use of the Classification and promoting its uniform application;
　　（2）向特别联盟国家提出建议，以利分类的使用并促进使用的一致；
(iii) take all other measures which, without entailing financial implications for the budget of the Special Union or for the Organization, contribute towards facilitating the application of the Classification by developing countries;
　　（3）在不牵涉特别联盟和产权组织财政预算的条件下，采取一切措施，为促进发展中国家使用分类作出贡献；
(iv) have the right to establish subcommittees and working groups.
　　（4）有权设立小组委员会和工作组。
(4) The Committee of Experts shall adopt its own rules of procedure. The latter shall provide for the possibility of participation in meetings of the subcommittees and working groups of the Committee of Experts by those intergovernmental organizations referred to in paragraph (2)(b) which can make a substantial contribution to the development of the Classification. 　　四、专家委员会应制定自己的议事规则。这些规则应为第二款第（二）项所指的那些能够为分类的发展作出实际贡献的政府间组织参加小组委员会和工作小组会议提供可能。
(5) Proposals for changes in the Classification may be made by the competent Office of any country of the Special Union, the International Bureau, any intergovernmental organization represented in the Committee of Experts pursuant to paragraph (2)(b) and any country or organization specially invited by the Committee of Experts to submit such proposals. The proposals shall be communicated to the International Bureau, which shall submit them to the members of the Committee of Experts and to the observers not later than two months before the session of the Committee of Experts at which the said proposals are to be considered. 　　五、特别联盟国家的主管机关、国际局、依据第二款第（二）项参加专家委员会的政府间组织以及经专家委员会特邀提出建议的国家或组织，可以对分类的变动提出建议。提案应送国际局，并由国际局在审议该提案的专家委员会开会之前至少两个月，送交专家委员会各委员和观察员。
(6) Each country of the Special Union shall have one vote. 　　六、特别联盟每一国家有一票表决权。
(7) 　　七、
(a) Subject to subparagraph (b), the decisions of the Committee of Experts shall require a simple majority of the countries of the Special Union represented and voting.
　　（一）除下列第（二）项规定外，专家委员会的决议应由出席的特别联盟国家以简单多数投票通过。
(b) Decisions concerning the adoption of amendments to the Classification shall require a majority of four-fifths of the countries of the Special Union represented and voting. "Amendment" shall mean any transfer of goods or services from one class to another or the creation of any new class.
　　（二）修改分类的决定，应由出席的特别联盟国家以五分之四多数投票通过。“修改”指将商品或服务项目从一个类别转到另一个类别，或建立新的类别。
(c) The rules of procedure referred to in paragraph (4) shall provide that, except in special cases, amendments to the Classification shall be adopted at the end of specified periods; the length of each period shall be determined by the Committee of Experts.
　　（三）第四款所指的议事规则应规定，除特殊情况外，分类的修改决定应在指定时间的最终通过，每次指定时间的期限由专家委员会决定。
(8) Abstentions shall not be considered as votes. 　　八、弃权不得计入票数。

Article 4
Notification, Entry Into Force and Publication of Changes

第四条
变更的通知、生效和公布
(1) Changes decided upon by the Committee of Experts and recommendations of the Committee of Experts shall be notified to the competent Offices of the countries of the Special Union by the International Bureau. Amendments shall enter into force six months after the date of dispatch of the notification. Any other change shall enter into force on a date to be specified by the Committee of Experts at the time the change is adopted. 　　一、专家委员会决定的变动和专家委员会的建议，应由国际局通知特别联盟各国家的主管机关。修改决定应在发出通知后六个月生效。其他变动应在专家委员通过时指定的日期生效。
(2) The International Bureau shall incorporate in the Classification the changes which have entered into force. Announcements of those changes shall be published in such periodicals as may be designated by the Assembly referred to in Article 5. 　　二、国际局应将已经生效的变动编入分类。变动的通告应在第五条所指大会指定的期刊上公布。

Article 5
Assembly of the Special Union

第五条
特别联盟大会
(1) 　　一、
(a) The Special Union shall have an Assembly consisting of those countries which have ratified or acceded to this Act.
　　（一）特别联盟大会由已经批准或加入本议定书的国家组成
(b) The Government of each country shall be represented by one delegate, who may be assisted by alternate delegates, advisors, and experts.
　　（二）每个国家政府可派一名代表参加，由若干副代表、顾问和专家协助。
(c) The expenses of each delegation shall be borne by the Government which has appointed it.
　　（三）每个代表团的费用由指派该代表团的政府负担。
(2) 　　二、
(a) Subject to the provisions of Articles 3 and 4, the Assembly shall:
　　（一）除依从第三条和第四条规定外，大会的职能如下：
(i) deal with all matters concerning the maintenance and development of the Special Union and the implementation of this Agreement;
　　（1）处理有关维持和发展特别联盟和执行本协定的一切事项；
(ii) give directions to the International Bureau concerning the preparation for conferences of revision, due account being taken of any comments made by those countries of the Special Union which have not ratified or acceded to this Act;
　　（2）就有关修订会议的筹备工作对国际局作出指示，对特别联盟中尚未批准或加入本协定书的国家所提意见进行适当的考虑；
(iii) review and approve the reports and activities of the Director General of the Organization (hereinafter designated as "the Director General") concerning the Special Union, and give him all necessary instructions concerning matters within the competence of the Special Union;
　　（3）复审和批准产权组织总干事关于特别联盟的报告和活动，并就特别联盟权限内的有关问题给以必要的指示；
(iv) determine the program and adopt the biennial budget of the Special Union, and approve its final accounts;
　　（4）决定特别联盟的计划，通过特别联盟每两年一次的预算，并批准决算；
(v) adopt the financial regulations of the Special Union;
　　（5）通过特别联盟财务规则；
(vi) establish, in addition to the Committee of Experts referred to in Article 3, such other committees of experts and working groups as it may deem necessary to achieve the objectives of the Special Union;
　　（6）除第三条所指专家委员会外，增设其他对实现特别联盟目标所必要的专家委员会和工作组；
(vii) determine which countries not members of the Special Union and which intergovernmental and international non-governmental organizations shall be admitted to its meetings as observers;
　　（7）决定接纳非特别联盟成员的国家、政府间组织和非政府间国际组织作为观察员参加大会会议；
(viii) adopt amendments to Articles 5 to 8;
　　（8）通过对第五条至第八条的修正案；
(ix) take any other appropriate action designed to further the objectives of the Special Union;
　　（9）为促进特别联盟的工作进行其他适当的活动；
(x) perform such other functions as are appropriate under this Agreement.
　　（10）履行本协定规定的其他适当职责。
(b) With respect to matters which are of interest also to other Unions administered by the Organization, the Assembly shall make its decisions after having heard the advice of the Coordination Committee of the Organization.
　　（二）对产权组织所属的其他联盟也关切的问题，大会在听取产权组织协调委员会的建议以后，可以作出自己的决定。
(3) 　　三、
(a) Each country member of the Assembly shall have one vote.
　　（一）大会每一成员国有一票表决权。
(b) One-half of the countries members of the Assembly shall constitute a quorum.
　　（二）大会成员国的半数构成法定人数。
(c) Notwithstanding the provisions of subparagraph (b), if, in any session, the number of countries represented is less than one-half but equal to or more than one-third of the countries members of the Assembly, the Assembly may make decisions but, with the exception of decisions concerning its own procedure, all such decisions shall take effect only if the conditions set forth hereinafter are fulfilled. The International Bureau shall communicate the said decisions to the countries members of the Assembly which were not represented and shall invite them to express in writing their vote or abstention within a period of three months from the date of the communication. If, at the expiration of this period, the number of countries having thus expressed their vote or abstention attains the number of countries which was lacking for attaining the quorum in the session itself, such decisions shall take effect provided that at the same time the required majority still obtains.
　　（三）如果出席任何会议的国家少于半数，但达到或超过大会成员国的三分之一时，尽管前述第（二）项有所规定，大会仍可做出决议，但是，这些决议除有关其本身的议事程序的以外，只能在符合下述条件时才可生效；国际局应将上述决议通知未出席会议的大会成员国，并请他们自通知之日起三个月以内，以书面形式投票或弃权，期满后，如果以这种方式投票或弃权的国家数达到了会议法定人数所缺少的国家数，但同时仍能获得要求的多数时，该决议才可生效。
(d) Subject to the provisions of Article 8(2), the decisions of the Assembly shall require two-thirds of the votes cast.
　　（四）除依据第八条第二款规定外，大会的决议要有投票三分之二的多数票才能通过。
(e) Abstentions shall not be considered as votes.
　　（五）弃权不得计入票数。
(f) A delegate may represent, and vote in the name of, one country only.
　　（六）一名代表只能代表一个国家投票。
(g) Countries of the Special Union not members of the Assembly shall be admitted to the meetings of the latter as observers.
　　（七）不属于大会成员国的特别联盟国家，可被接纳为观察员参加大会会议。
(4) 　　四、
(a) The Assembly shall meet once in every second calendar year in ordinary session upon convocation by the Director General and, in the absence of exceptional circumstances, during the same period and at the same place as the General Assembly of the Organization.
　　（一）会例会每两年由总干事召集一次。除特殊情况外，它与产权组织大会在同时同地召开。
(b) The Assembly shall meet in extraordinary session upon convocation by the Director General, at the request of one-fourth of the countries members of the Assembly.
　　（二）经大会成员国四分之一的要求，总干事得召集大会特别会议。
(c) The agenda of each session shall be prepared by the Director General.
　　（三）每次会议议程由总干事准备。
(5) The Assembly shall adopt its own rules of procedure. 　　五、大会应制定其本身的议事规则。

Article 6
International Bureau

第六条
国际局
(1) 　　一、
(a) Administrative tasks concerning the Special Union shall be performed by the International Bureau.
　　（一）国际局执行有关特别联盟的行政任务。
(b) In particular, the International Bureau shall prepare the meetings and provide the secretariat of the Assembly, the Committee of Experts, and such other committees of experts and working groups as may have been established by the Assembly or the Committee of Experts.
　　（二）特别是，国际局要筹备各种会议，并为大会、专家委员会以及由大会或专家委员会设立的其他专家委员会和工作组提供秘书处。
(c) The Director General shall be the chief executive of the Special Union and shall represent the Special Union.
　　（三）总干事是特别联盟的行政负责人并代表特别联盟。
(2) The Director General and any staff member designated by him shall participate, without the right to vote, in all meetings of the Assembly, the Committee of Experts, and such other committees of experts or working groups as may have been established by the Assembly or the Committee of Experts. The Director General, or a staff member designated by him, shall be ex officio secretary of those bodies. 　　二、总干事和他指定的工作人员，可以参加大会、专家委员会以及由大会或专家委员会设立的其他专家委员会或工作组的所有会议，但无投票权。总干事或他指定的一名工作人员应为各该会议的当然秘书。
(3) 　　三、
(a) The International Bureau shall, in accordance with the directions of the Assembly, make the preparations for the conferences of revision of the provisions of the Agreement other than Articles 5 to 8.
　　（一）国际局应根据大会的指示，为本协定除第五条至第八条以外各条款的修订工作会议作准备。
(b) The International Bureau may consult with intergovernmental and international non-governmental organizations concerning preparations for conferences of revision.
　　（二）国际局可就有关修订工作的会议的筹备工作同政府间和非政府间的国际组织进行磋商。
(c) The Director General and persons designated by him shall take part, without the right to vote, in the discussions at those conferences.
　　（三）总干事和他指定的工作人员可以参加修订工作会议的讨论，但无投票权。
(4) The International Bureau shall carry out any other tasks assigned to it. 　　四、国际局应执行指派给它的任何其他任务。

Article 7
Finances

第七条
财务
(1) 　　一、
(a) The Special Union shall have a budget.
　　（一）特别联盟应制定预算。
(b) The budget of the Special Union shall include the income and expenses proper to the Special Union, its contribution to the budget of expenses common to the Unions, and, where applicable, the sum made available to the budget of the Conference of the Organization.
　　（二）特别联盟预算应包括本联盟专用的收入和支出，对各联盟共同预算支出的捐款，以及在需要时为产权组织的会议预算提供的金额。
(c) Expenses not attributable exclusively to the Special Union but also to one or more other Unions administered by the Organization shall be considered as expenses common to the Unions. The share of the Special Union in such common expenses shall be in proportion to the interest the Special Union has in them.
　　（三）不属于特别联盟专用而用于产权组织所属的其他一个或更多的联盟的支出，应视为各联盟的共同支出。特别联盟在共同支出中承担的份额，应与特别联盟在其中享受的利益成比例。
(2) The budget of the Special Union shall be established with due regard to the requirements of coordination with the budgets of the other Unions administered by the Organization. 　　二、特别联盟预算的制定，应适当考虑同产权组织所属其他联盟的预算相协调的需要。
(3) The budget of the Special Union shall be financed from the following sources: 　　三、特别联盟预算的经费来源如下：
(i) contributions of the countries of the Special Union;
　　（1）特别联盟国家的会费；
(ii) fees and charges due for services rendered by the International Bureau in relation to the Special Union;
　　（2）国际局提供与特别联盟有关的服务所收取的费用；
(iii) sale of, or royalties on, the publications of the International Bureau concerning the Special Union;
　　（3）国际局有关特别联盟的出版物的售款和版税；
(iv) gifts, bequests, and subventions;
　　（4）捐款、遗赠和补助金；
(v) rents, interests, and other miscellaneous income.
　　（5）租金、利息和其他各种收入。
(4) 　　四、
(a) For the purpose of establishing its contribution referred to in paragraph (3)(i), each country of the Special Union shall belong to the same class as it belongs to in the Paris Union for the Protection of Industrial Property, and shall pay its annual contributions on the basis of the same number of units as is fixed for that class in that Union*.
　　（一）为了确定第三款第（1）项所指的会费，特别联盟每个国家交款的级别应与其在保护工业产权巴黎联盟中的级别相同，并在该联盟为该级别所定的交费单位数相同的基础上交纳年度会费。
(b) The annual contribution of each country of the Special Union shall be an amount in the same proportion to the total sum to be contributed to the budget of the Special Union by all countries as the number of its units is to the total of the units of all contributing countries.
　　（二）特别联盟每个国家所交会费，在所有国家向特别联盟预算交费总额中所占的数额，应与其交费单位数在所有交费国家的交费单位总数中的比例相同。
(c) Contributions shall become due on the first of January of each year.
　　（三）会费应于每年一月一日交纳。
(d) A country which is in arrears in the payment of its contributions may not exercise its right to vote in any organ of the Special Union if the amount of its arrears equals or exceeds the amount of the contributions due from it for the preceding two full years. However, any organ of the Special Union may allow such a country to continue to exercise its right to vote in that organ if, and as long as, it is satisfied that the delay in payment is due to exceptional and unavoidable circumstances.
　　（四）一个国家欠交会费，如果所欠金额等于或超过其前两整年应付金额，则在特别联盟各机构中不能行使投票权。但是，如能证实迟延付款是由于特殊和不可避免的情况造成的，特别联盟各机构可允许该国在该机构中继续行使投票权。
(e) If the budget is not adopted before the beginning of a new financial period, it shall be at the same level as the budget of the previous year, as provided in the financial regulations.
　　（五）如果在新的财务年度开始时预算尚未通过，按财务规章，应维持与上一年度相同的预算水平。
(5) The amount of the fees and charges due for services rendered by the International Bureau in relation to the Special Union shall be established, and shall be reported to the Assembly, by the Director General. 　　五、国际局提供与特别联盟有关的服务，其收费额由总干事制定，并向大会报告。
(6) 　　六、
(a) The Special Union shall have a working capital fund which shall be constituted by a single payment made by each country of the Special Union. If the fund becomes insufficient, the Assembly shall decide to increase it.
　　（一）特别联盟设立周转基金，由特别联盟各个国家一次付款组成。在基金不足时，大会可以决定增加。
(b) The amount of the initial payment of each country to the said fund or of its participation in the increase thereof shall be a proportion of the contribution of that country for the year in which the fund is established or the decision to increase it is made.
　　（二）每个国家初次交付基金或交付增加基金的数额，应按设立或增加基金的当年该国年费的比例支付。
(c) The proportion and the terms of payment shall be fixed by the Assembly on the proposal of the Director General and after it has heard the advice of the Coordination Committee of the Organization.
　　（三）交款比例和期限，经总干事提出建议并听取产权组织协调委员会的建议后，由大会确定。
(7) 　　七、
(a) In the headquarters agreement concluded with the country on the territory of which the Organization has its headquarters, it shall be provided that, whenever the working capital fund is insufficient, such country shall grant advances. The amount of those advances and the conditions on which they are granted shall be the subject of separate agreements, in each case, between such country and the Organization.
　　（一）产权组织与其总部所在国家达成的总部协议，应规定当基金不足时由该国拨款垫付。各次垫付数额和拨款条件应由该国和产权组织分别签订协议。
(b) The country referred to in subparagraph (a) and the Organization shall each have the right to denounce the obligation to grant advances, by written notification. Denunciation shall take effect three years after the end of the year in which it has been notified.
　　（二）第（一）项所指的国家和产权组织，都有权以书面通知形式废除拨款垫付的义务。废除应在通知年份的年底算起三年以后生效。
(8) The auditing of the accounts shall be effected by one or more of the countries of the Special Union or by external auditors, as provided in the financial regulations. They shall be designated, with their agreement, by the Assembly. 　　八、依照财务规章的规定，查帐工作由特别联盟一个或几个国家或者外部的查帐人员进行。查帐人员在征得他们本人同意后由大会指定。

Article 8
Amendment of Articles 5 to 8

第八条
第五条至第八条的修正案
(1) Proposals for the amendment of Articles 5, 6, 7, and the present Article, may be initiated by any country member of the Assembly, or by the Director General. Such proposals shall be communicated by the Director General to the member countries of the Assembly at least six months in advance of their consideration by the Assembly. 　　一、对第五、六、七条和本条的修正提案，可由大会任何成员国或总干事倡议，提案应由总干事在大会进行审议之前至少六个月送交大会成员国。
(2) Amendments to the Articles referred to in paragraph (1) shall be adopted by the Assembly. Adoption shall require three-fourths of the votes cast, provided that any amendment to Article 5, and to the present paragraph, shall require four-fifths of the votes cast. 　　二、对第一款所指各条的修正案，应由大会通过。通过要求达到投票数的四分之三，但修正第五条和本款规定要求达到投票数的五分之四。
(3) Any amendment to the Articles referred to in paragraph (1) shall enter into force one month after written notifications of acceptance, effected in accordance with their respective constitutional processes, have been received by the Director General from three-fourths of the countries members of the Assembly at the time it adopted the amendment. Any amendment to the said Articles thus accepted shall bind all the countries which are members of the Assembly at the time the amendment enters into force, or which become members thereof at a subsequent date, provided that any amendment increasing the financial obligations of countries of the Special Union shall bind only those countries which have notified their acceptance of such amendment. 　　三、对第一款所指各条的修正案，应在总干事从通过修正案时四分之三的大会成员国收到已按各自的宪法程序生效的认可通知书一个月后生效。经过认可的上述条款的修正案，对所有大会成员或以后成为大会成员的国家都具有约束力，但有关增加特别联盟国家财政义务的修正案，仅对已通知认可修正案的国家具有约束力。

Article 9
Ratification and Accession; Entry Into Force

第九条
批准和加入；生效
(1) Any country of the Special Union which has signed this Act may ratify it, and, if it has not signed it, may accede to it. 　　一、在本议定书上签字的国家可以批准议定书，未签字的国家可以加入本议定书。
(2) Any country outside the Special Union which is party to the Paris Convention for the Protection of Industrial Property may accede to this Act and thereby become a country of the Special Union. 　　二、不属于特别联盟但已参加保护工业产权巴黎公约的国家，可以加入本议定书，成为特别联盟成员国。
(3) Instruments of ratification and accession shall be deposited with the Director General. 　　三、批准和加入的文件交总干事保存
(4) 　　四、
(a) This Act shall enter into force three months after both of the following conditions are fulfilled:
　　（一）本议定书在具备以下两个条件三个月以后生效。
(i) six or more countries have deposited their instruments of ratification or accession;
　　（1）六个或更多的国家已交存批准和加入的文件；
(ii) at least three of the said countries are countries which, on the date this Act is opened for signature, are countries of the Special Union.
　　（2）上述国家中至少有三个国家在本议定书开放签字期间是特别联盟国家。
(b) The entry into force referred to in subparagraph (a) shall apply to those countries which, at least three months before the said entry into force, have deposited instruments of ratification or accession.
　　（二）前述第（一）项所指的生效，适用于在生效日期至少三个月以前已经交存批准或加入文件的国家。
(c) With respect to any country not covered by subparagraph (b), this Act shall enter into force three months after the date on which its ratification or accession was notified by the Director General, unless a subsequent date has been indicated in the instrument of ratification or accession. In the latter case, this Act shall enter into force with respect to that country on the date thus indicated.
　　（二）至于前述第（二）项未包括的国家，除已在其批准或加入文件中指定较后的日期外，本议定书将在总干事就其批准或加入发出通知三个月以后生效。在指定较后日期的情况下，本议定书对该国将在指定的日期生效。
(5) Ratification or accession shall automatically entail acceptance of all the clauses and admission to all the advantages of this Act. 　　五、批准或加入后，自动地承认接受本议定书全部条款，同时享有本议定书的全部利益。
(6) After the entry into force of this Act, no country may ratify or accede to an earlier Act of this Agreement. 　　六、本议定书生效后，任何国家不得再批准或加入本协定在前的议定书。

Article 10
Duration

第十条
有效期
This Agreement shall have the same duration as the Paris Convention for the Protection of Industrial Property. 　　本协定的有效期与保护工业产权巴黎公约相同。

Article 11
Revision

第十一条
修订
(1) This Agreement may be revised from time to time by a conference of the countries of the Special Union. 　　一、特别联盟国家会议可随时修改本协定。
(2) The convocation of any revision conference shall be decided upon by the Assembly. 　　二、修订会议的召开应由大会决定。
(3) Articles 5 to 8 may be amended either by a revision conference or according to Article 8. 　　三、对第五条至第八条可以由修订会议修正，也可以按照第八条规定进行修正。

Article 12
Denunciation

第十二条
退出
(1) Any country may denounce this Act by notification addressed to the Director General. Such denunciation shall constitute also denunciation of the earlier Act or Acts of this Agreement which the country denouncing this Act may have ratified or acceded to, and shall affect only the country making it, the Agreement remaining in full force and effect as regards the other countries of the Special Union. 　　一、任何国家可以通知总干事退出本协定。退出本协定即构成退出该国以前已批准或加入的本协定较早的议定书。退出仅对宣告退出的国家有效，本协定对其他特别联盟国家仍具有全部效力。
(2) Denunciation shall take effect one year after the day on which the Director General has received the notification. 　　二、退出自总干事收到通知之日起一年以后生效。
(3) The right of denunciation provided by this Article shall not be exercised by any country before the expiration of five years from the date upon which it becomes a country of the Special Union. 　　三、自参加特别联盟之日起不足五年的国家，不能行使本条规定的退出权利。

Article 13
Reference to Article 24 of the Paris Convention

第十三条
与巴黎公约第二十四条的关系
The provisions of Article 24 of the Stockholm Act of 1967 of the Paris Convention for the Protection of Industrial Property shall apply to this Agreement, provided that, if those provisions are amended in the future, the latest amendment shall apply to this Agreement with respect to those countries of the Special Union which are bound by such amendment. 　　保护工业产权巴黎公约1967年斯德哥尔摩议定书第二十四条的规定适用于本协定，如果将来修订该条规定，则其修正案对本协定的适用仅限于受该修正案约束的特别联盟国家。

Article 14
Signature; Languages; Depositary Functions; Notifications

第十四条
签字；文字；保管人员职责；通知 
(1) 　　一、
(a) This Act shall be signed in a single original in the English and French languages, both texts being equally authentic, and shall be deposited with the Director General.
　　（一）本议定书在英文和法文单一原本上签字，两种文本具有同等效力，交由总干事保管。
(b) Official texts of this Act shall be established by the Director General, after consultation with the interested Governments and within two months from the date of signature of this Act, in the two other languages, Russian and Spanish, in which, together with the languages referred to in subparagraph (a), authentic texts of the Convention Establishing the World Intellectual Property Organization were signed.
　　（二）总干事在本议定书签字后两个月内，经与有关政府协商后，制订俄文、西班牙文的议定书正式文本。这两种文字和前述第（一）项所说的文字在成立世界知识产权组织公约中已签字成为正式文本。
(c) Official texts of this Act shall be established by the Director General, after consultation with the interested Governments, in the Arabic, German, Italian and Portuguese languages, and such other languages as the Assembly may designate.
　　（三）本议定书的阿拉伯文、德文、意大利文和葡萄牙文以及大会指定其他文字的正式文本，由总干事与有关政府协商制订。
(2) This Act shall remain open for signature until December 31, 1977. 　　二、本议定书开放签字至1977年12月31日止。
(3) 　　三、
(a) The Director General shall transmit two copies, certified by him, of the signed text of this Act to the Governments of all countries of the Special Union and, on request, to the Government of any other country.
　　（一）总干事应将经他证明无误的业经签字的本议定书的两个副本送给特别联盟所有国家政府和提出要求的其他任何国家政府。
(b) The Director General shall transmit two copies, certified by him, of any amendment to this Act to the Governments of all countries of the Special Union and, on request, to the Government of any other country.
　　（二）总干事应将经他证明无误的本议定书任何修正案的两个副本送给特别联盟所有国家政府和提出要求的其他任何国家政府。
(4) The Director General shall register this Act with the Secretariat of the United Nations. 　　四、总干事应将议定书在联合国秘书处登记。
(5) The Director General shall notify the Governments of all countries party to the Paris Convention for the Protection of Industrial Property of: 　　五、总干事应向保护工业产权巴黎公约的所有成员国通知下列事项：
(i) signatures under paragraph (1);
　　（1）根据第一款规定的签字；
(ii) deposits of instruments of ratification or accession under Article 9(3);
　　（2）根据第九条第三款交存批准或加入文件；
(iii) the date of entry into force of this Act under Article 9(4)(a);
　　（3）根据第九条第四款第（一）项本议定书的生效日期；
(iv) acceptances of amendments to this Act under Article 8(3);
　　（4）根据第八条第三款对议定书修正案的认可；
(v) the dates on which such amendments enter into force;
　　（5）该修正案的生效日期；
(vi) denunciations received under Article 12.
　　（6）根据第十二条收到的退出通知。
